"Clause 14 Document Hierarchy and Role Boundaries
(a) Hierarchy of Documents: In the event of any conflict, the following hierarchy shall apply: (i) this Settlement Deed and any executed amendments thereto; (ii) Letters of Direction issued by the Protector pursuant to powers reserved under Clause 11; (iii) Side Letters executed by the Trustee for administrative clarifications; (iv) Letters of Wishes provided by the Settlor. For the avoidance of doubt, Letters of Wishes are non-binding moral guidance only and shall not be construed to fetter the Trustee's discretion or to confer any legally enforceable rights upon any beneficiary.
(b) Letters of Direction: A Letter of Direction shall (i) be in writing; (ii) signed by the Protector or, if a Protector Committee, by the majority required under Clause 11(d); (iii) specify the matter to which it relates with reference to the Clause of this Deed providing the underlying authority; (iv) bear a serial number maintained by the Trustee in a Direction Register. The Trustee shall execute a Direction within a reasonable period unless the Trustee determines, after taking independent legal advice, that execution would breach this Deed, the duties of the Trustee at law, or applicable regulations.
(c) Letters of Wishes: The Settlor may provide an initial Letter of Wishes within 60 days of execution of this Deed and may, in the Settlor's lifetime, provide updates not more than once every two (2) years. Letters of Wishes shall remain confidential except as required by court order, Trustee fiduciary duty, or applicable disclosure regulations. Frequent or material modifications to Letters of Wishes shall be deemed a relevant factor in the Trustee's consideration of any subsequent direction or discretion.
(d) Trustee's Role: The Trustee shall be responsible for the day-to-day administration of the Trust Fund, the safekeeping of Trust assets, the execution of investments within the Permitted Asset Classes (see Clause 9), and the preparation of reporting. The Trustee shall not consult or accept instructions from the Settlor after the Settlor has provided the initial Letter of Wishes, save as required by law (including but not limited to tax cooperation matters under Clause 18).
(e) Protector's Role: The Protector shall exercise the Reserved Powers under Clause 11 in a fiduciary or quasi-fiduciary capacity (as the law of the governing jurisdiction provides), shall monitor the Trustee's compliance with this Deed, and may issue Letters of Direction under Clause 14(b). The Protector shall not engage in the day-to-day management of Trust assets and shall not bypass the Trustee in communications with banks, brokers, regulators, or beneficiaries.
(f) Settlor's Role Post-Settlement: After execution of this Deed and provision of the initial Letter of Wishes, the Settlor shall have no further role in the governance of this Trust other than as expressly set forth in this Deed (see Clause 12 Settlor Reserved Powers, if any). Any communication from the Settlor purporting to direct the Trustee shall be treated as an expression of wishes, not a binding instruction.
(g) Resolution of Conflict: Where ambiguity exists as to whether a document is an LoD or LoW, or as to which document prevails, the Trustee shall seek written clarification from the Protector and, if unresolved, seek directions from the court of competent jurisdiction under Clause 22."
