The Family Governance shall consist of: (a) the Family Assembly—comprising all family members aged 18 and above, meeting annually; (b) the Family Council—a body of [5–9] members elected from the Family Assembly, meeting quarterly, with responsibilities for strategic decisions, conflict resolution, and policy oversight; (c) the Family Office—an executive body responsible for the management of family wealth, investments, philanthropy, and family services; (d) the Family Trust Board—comprising the Trustees of the Family Trust, the Protector(s), and family representatives, meeting as needed.

CLAUSE 3 · Succession and Inheritance
Family Members aspiring to leadership positions in the Family Business or Family Office shall: (a) obtain a university degree from an accredited institution; (b) work outside the Family Business for a minimum of [5] years; (c) demonstrate professional competence through verifiable employment records or business achievements. Inheritance from the Family Trust shall be guided by the principle of equal treatment among Family Members, subject to the specific terms of the relevant Trust Deed and the Trustee's discretionary powers. The Family Council shall not interfere with the Trustee's discretionary decisions but may provide written guidance.

Sample trap: "All Family Members entering into marriage or registered partnership shall execute a prenuptial agreement that excludes the spouse from any claim against (a) the Family Trust, (b) the Family Business, or (c) any inheritance from the Family Trust. Failure to comply with this requirement shall result in the member's exclusion from any future distribution from the Family Trust."

Sample trap: "Family Members employed by the Family Business shall not engage in any competing business activity during their employment or for a period of [10] years following their departure. Family Members who voluntarily resign or are terminated for cause shall be required to sell their shares in the Family Business back to the Family Trust at book value."

trap:(a) "10 年竞业禁止"——在中国《劳动合同法》§ 23 / § 24 下竞业禁止最长 2 年+ 必须有补偿·宪章条款超出法定上限对劳动合同无效;(b) "book value 强制回购"——这是公司层条款 + 与公司章程联动 · 但 book value 通常远低于市价 · 若被认定显失公平可被法院调整;(c) 中国新公司法 2024 § 88 增加股权回购情形 · 但限于法定情形 · 宪章不能扩大;(d) 实务做法:宪章明确企业治理原则 · 具体条款写入公司章程 + 股东协议 + 劳动合同 · 同时与公司法 / 劳动法保持一致

TRAP · exit and divorce clauses
Sample trap: "A Family Member who divorces a spouse who has signed this Charter shall, upon the divorce, lose all rights and entitlements under this Charter, including any present or future distribution from the Family Trust. The Family Council shall have the sole discretion to determine whether such loss of rights is in the interests of the Family as a whole."

Sample trap: "The Family commits to donating no less than [X]% of the Family Trust's annual investment returns to charitable causes designated by the Family Council.
